Terms of Service

Effective date: March 1, 2026

1. Agreement to these terms

By accessing or using the Icon Alliance platform — including iconalliance.ca, any associated services, membership tiers, Academy pathways, and the Icon Profile buildout service — you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the platform.

These Terms constitute a legally binding agreement between you and Icon Alliance Inc. ("Icon Alliance", "we", "us", or "our"), a company incorporated in Ontario, Canada.

2. Description of services

Icon Alliance operates a professional ecosystem for independent IT consultants and incorporated professionals. Our services include:

• The Icon Profile — a professional digital identity buildout service delivered based on member intake
• Academy Pathways — structured AI-forward learning pathways including the AI Readiness Navigator
• Membership Tiers — structured membership levels (Discover, Foundation, Professional, Executive) with associated platform access and benefits
• Employer Services — talent matching and capability support for organisations seeking IT consultants
• Community and Opportunity — professional community access and opportunity matching

3. Eligibility and accounts

You must be at least 18 years of age to use the Icon Alliance platform. By using the platform, you represent that you meet this requirement.

When you create a membership account, you are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorised use of your account at our legal contact form (linked in the footer).

You agree to provide accurate, current, and complete information during registration and intake processes, and to keep that information updated.

4. Membership and billing

Paid tiers: Foundation, Professional, and Executive memberships are billed on a recurring monthly or annual basis as described at the time of purchase. By subscribing to a paid tier, you authorise Icon Alliance to charge your payment method on a recurring basis.

Free tier: The Discover tier is provided at no cost and may be changed or discontinued at any time with reasonable notice.

Access codes: Free access codes grant temporary access to a paid tier for the specified period. On expiry, your account reverts to the Discover tier unless you subscribe.

Cancellation: You may cancel your paid membership at any time. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods.

Changes to pricing: We reserve the right to change membership pricing with at least 30 days' notice to active subscribers.

5. Icon Profile service

The Icon Profile is built by Icon Alliance from the intake information you provide. By submitting your intake, you:

• Confirm that all information provided is accurate and that you have the right to share it
• Grant Icon Alliance a licence to use your intake content to build and host your Icon Profile
• Understand that the Icon Profile is built to reflect your professional identity and is not a guarantee of any employment outcome

Icon Alliance reserves the right to decline or remove an Icon Profile that contains inaccurate, misleading, or inappropriate content.

6. Acceptable use

You agree not to use the platform to:

• Provide false or misleading information about yourself, your qualifications, or your business
• Impersonate any person or entity
• Harass, threaten, or harm other members of the platform
• Scrape, copy, or extract platform content without permission
• Attempt to circumvent any security or access controls
• Use the platform for any unlawful purpose

Icon Alliance reserves the right to suspend or terminate accounts that violate these conditions, without refund.

7. Intellectual property

All content on the Icon Alliance platform — including text, design, graphics, pathway content, and the Icon Alliance brand — is the property of Icon Alliance Inc. and is protected by copyright and other intellectual property laws.

Your Icon Profile content remains yours. By publishing it on the platform, you grant Icon Alliance a limited licence to host and display it as part of the service. You retain all ownership of your underlying professional information.

8. Disclaimer of warranties

The Icon Alliance platform is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the platform will be uninterrupted, error-free, or free of viruses or other harmful components.

Icon Alliance does not guarantee any specific outcome from membership, the Icon Profile service, Academy pathways, or employer matching — including but not limited to employment, contract engagement, or rate increases.

9. Limitation of liability

To the maximum extent permitted by applicable law, Icon Alliance Inc. and its directors, employees, and agents shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of the platform, even if advised of the possibility of such damages.

Our total liability to you for any claims arising from your use of the platform shall not exceed the total amount you paid to Icon Alliance in the 12 months preceding the claim.

10. Governing law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved in the courts of Ontario.

11. Changes to these terms

We may update these Terms from time to time. We will notify active members of material changes by email at least 14 days before the changes take effect. Continued use of the platform after the effective date constitutes acceptance of the updated Terms.
